1、Introduction

Welcome to the Redfox Afﬁliate Marketing Program. This agreement ("Agreement") aims to regulate the cooperation between Redfox ("Redfox," "Company," "We") and you ("Afﬁliate," "You," "Your"). The purpose is to establish the rights and obligations of both parties with the common goal of promoting and selling company products. Please read all the terms and conditions of this Agreement carefully as they are legally binding on your participation.

By registering for the company's afﬁliate program and continuing your afﬁliation with us, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions. We may modify or change these terms at any time at our discretion. If you do not agree with the contents included in this Agreement, please cease using our afﬁliate marketing on our website immediately.We do not charge any fees for becoming an afﬁliate. Whenever someone places an order with us, we will pay you a 20% commission, so be sure to cooperate with us immediately and start earning money!

2、Deﬁnitions

In this Agreement, unless the context requires otherwise, the following words and expressions shall have the meanings speciﬁed:

"Afﬁliate" refers to any individual or entity participating in the company's afﬁliate program, promoting company products through afﬁliate links, and earning commissions according to this Agreement.

"Afﬁliate Link" refers to the unique tracking link URL provided by the company to the afﬁliate for promotion, allowing the company to track sales activities promoted by the afﬁliate and calculate commissions.

"Qualiﬁed Purchase" refers to purchases of company products through an afﬁliate link, not returned or canceled, and meeting all purchase criteria set by the company.

"Commission" refers to the compensation amount you earn as an afﬁliate for each qualiﬁed purchase.

3、EligibilityandRegistration

Eligibility Review:

Anyone registered at Redfoxe.com can recommend friends. Just provide a valid email address, agree to terms and conditions, then start recommending your friends and family.

You must have a legitimate promotion platform, such as a website, blog, or social media account.

The content of your promotion platform must comply with ethical and legal standards and must not contain illegal or other inappropriate content.

The company will adopt post-review and supervision methods. During the process, if any behavior is found to violate this Agreement or does not meet the company's requirements, the company reserves the right to accept or reject any afﬁliate application.

Application Process:

You need to complete the afﬁliate registration application on the Redfox ofﬁcial website, providing necessary personal information and promotion platform details.

The company does not require a review, only your agreement to the afﬁliate agreement.

Once successfully registered as an afﬁliate, you will receive an email containing the afﬁliate link, and your exclusive afﬁliate link will also be displayed on the afﬁliate program page in your account after registration.

Acceptance of the Agreement:

Your application approval means you agree to comply with the terms of this Agreement. If you do not agree with any part of this Agreement, please do not register or participate in this afﬁliate program.

4、Commissions and Payment

Commission Structure and Calculation

You will receive a commission for each new member's qualiﬁed purchase made through your exclusive afﬁliate link. Commissions are calculated as a percentage of the purchase price, currently at 20% of the sales amount unless otherwise agreed in writing. Commissions apply only to original orders. Recurring orders will not generate commission payments.

For speciﬁc promotional activities or products, the commission rate may vary, and such changes will be announced directly on our website without direct notiﬁcation to all afﬁliates.

Commissions are based on purchases completed within a deﬁned period after a customer clicks on an afﬁliate link. This period is often referred to as the "Cookie Duration," which is set at 60 days by default in Redfox.

Link Validity and Tracking

Tracking Technology and Cookies Settings: Redfox uses cookies to track visits and sales promoted by afﬁliates. Each afﬁliate link contains speciﬁc tracking cookies; when a potential customer clicks on an afﬁliate's exclusive link, a speciﬁc tracking cookie is set in their browser, valid for 60 days from the ﬁrst click. If the customer completes a purchase within these 60 days, and the browser cookies have not been cleared, it is considered a qualiﬁed purchase. If the customer completes the purchase outside the cookie duration, even if they entered through an afﬁliate link, that sale will not contribute to the afﬁliate's commission. Afﬁliates must ensure they regularly update and maintain their promotional links to ensure link validity and tracking accuracy.

Last Click Attribution Rules: We use a last-click attribution model to determine commission entitlement. This means if a customer visits Redfox via multiple different afﬁliate links within the cookie duration, only the last-clicked afﬁliate will earn the commission. This ensures that the commission is attributed to the ﬁnal promotion activity that directly led to the sale.

Attribution Execution and Veriﬁcation: The execution of last-click attribution is based on timestamps and link data stored in cookies. The system automatically detects and veriﬁes the last click leading to the sale, ensuring correct commission attribution.

Attribution Conﬂict Resolution: In cases of attribution conﬂicts or errors, Redfox reserves the ﬁnal right to interpret and may adjust the attribution outcome based on the actual situation. All relevant decisions will be communicated to the involved afﬁliates, providing necessary explanations and data support.

Payment Cycle and Method

Payments are made 30 days after the period ends. Commission payments are settled monthly, with payment dates on the 15th of each month. If this date falls on a weekend or public holiday, the payment time is postponed to the next business day, but we cannot guarantee that the payment will have reached your account by then.

Commission payments are executed via PayPal or electronic bank transfer. Afﬁliates need to provide valid payment information on the afﬁliate platform and are responsible for the accuracy and updating of this information.

The minimum payment threshold is $50. If the monthly commission does not meet this threshold, the balance will roll over to the next month.

All commissions are paid in U.S. dollars. The company provides detailed sales and commission reports, and afﬁliates can view these by logging into their afﬁliate accounts.

Adjustments and Refunds

If a transaction results in a return or cancellation of a product purchased through an afﬁliate link, leading to a refund or partial refund, the corresponding commission will be deducted in the next payment cycle.

In cases of any detected fraud, refunds, transaction anomalies, or other violations of this Agreement, related commissions will be frozen and investigated, and the respective commissions will be deducted from paid or unpaid commissions.

Any chargebacks will be deducted from the afﬁliate's account balance.

The company will regularly review transactions to ensure the accuracy of all commissions.

5、DutiesandResponsibilities

Promotion Duties

The company will provide afﬁliates with the materials and support needed to promote Redfox, accurately tracking sales generated by the afﬁliate's exclusive links.

Afﬁliates must ensure that all promotional materials and information presented do not mislead consumers and must fairly reﬂect product characteristics and price information.

All promotional activities must maintain brand consistency and must not harm the Redfox brand image.

Self-referrals are not allowed; the referred and referrer cannot be the same (including using the same email address, IP address, or browser session).

Use of Coupon Codes:

Afﬁliate members can only promote approved Redfox-issued coupon codes and discounts. Any expiration dates must be clearly and prominently displayed next to the coupon code, and the code should be removed or explicitly marked as expired on or before the expiration date. Any discount, offer, and promotional activity should display the available validity period, ensuring customers are clear about the duration of the promotional activity.

Allowed promotional methods include:

Providing your exclusive link directly to friends or potential customers who might be interested in Redfox;

Writing a review about Redfox on your blog or website and linking to our products using your exclusive link (or other provided creative assets);

Writing an article about an afﬁliate marketing niche topic on your blog or website and linking to our products using your afﬁliate link (or other provided creative assets);

Sharing your afﬁliate link with your audience on your social media accounts (sidebar: ensure this is allowed by the respective social network and that you also comply with their terms and conditions);

Promoting your afﬁliate link in emails (spam is not allowed) as long as the recipient is already a customer or subscriber of your services or website and they can opt to remove themselves from future emails;

Mentioning your afﬁliate link and/or discount code on podcasts.

Market Conduct:

Afﬁliates must clearly label promotional links as afﬁliate links in their websites, social media posts, or email marketing, and may receive a commission for clicks.

Afﬁliates are prohibited from creating or operating any websites or social media accounts that might mislead consumers into believing they are Redfox's ofﬁcial websites.

You agree to use the company-provided marketing materials for lawful, ethical promotional activities. You must ensure all promotional activities do not contain misleading information.

We actively monitor trafﬁc, clicks, sales, registrations, displays, leads, payments, and other activities related to the program to detect potential fraud. If we suspect your account is being used fraudulently, your account will be immediately deactivated without notice. If you add activity or exaggerate activity using fraudulent trafﬁc generation methods, at our sole discretion, we will forfeit all pending payments, and your afﬁliate account will be immediately terminated. Redfox retains the sole discretion to determine fraudulent activity, and you agree to be bound by any and all such decisions. You have the duty to prove to us that you have not engaged in fraud. If you cannot provide satisfactory evidence to us, then we reserve the right to terminate your afﬁliate account and cancel payment at our discretion, without any further obligation to you. If payments have been issued previously and we believe these payments are from fraudulent activity, we will use all necessary means to recover the aforementioned funds and the costs incurred in taking such actions, including but not limited to attorney fees.

Please note that if we believe at any time that you are acting maliciously or illegally, we may also cancel your participation and withhold all payments.

The following behaviors are considered bad practices:

Using any form of fraud, false advertising, infringement, spam, or other unlawful promotional behavior;

Using deceptive practices to encourage users to click on banners to generate trafﬁc;

Offering coupons or discounts without our consent;

Using words like "deal," "sale," or "discount" in a deceptive manner, or in some way stating the service has any discount, rebate, cash back, or other reduced payment, when in fact it does not;

Promoting on price comparison websites, "cash back" or voucher or coupon websites (websites that offer purchase rewards through referral links);

Engaging in the promotion of websites using "pop-ups" or "pop- unders" (websites that launch "pop-up" or hidden windows on the user's browser);

Compliance and Regulatory Compliance

Afﬁliates must comply with all applicable local, national, and international laws and regulations, including but not limited to advertising laws, consumer protection laws, and data protection laws.

In any data collection and processing activities involving afﬁliate links, afﬁliates must clearly obtain consumer consent, complying with applicable privacy and data protection regulations.

Redfox is not liable for any indirect or incidental damages arising from this Agreement.

Regular Updates

Afﬁliates must regularly update promotional content to ensure consistency with the company's product updates and market activities.

6、Termand Termination

Agreement Duration: This agreement takes effect from the date you accept it and will continue to be effective until terminated by either party.

Termination Conditions: Either party may terminate this agreement at any time with written notice. If one party breaches the terms of the agreement, the other party may terminate the agreement immediately.

Commissions earned prior to the termination date shall still be paid. We may withhold your ﬁnal commission payment for a reasonable period to ensure all qualiﬁed purchases are valid, and Redfox decides at its discretion that the payments made by referred users are lawful.

Any afﬁliate who violates this agreement will immediately lose any and all rights to any and all accrued commissions.

7、Policies and Restrictions

Speciﬁc Strategies for Advertising and Promotion

Legal Advertising: You must ensure that all promotional activities comply with the legal regulations of your location, especially concerning online advertising and consumer protection.

Prohibition of Misleading Advertising: All advertising content must be truthful and not use false statements or promises to mislead consumers. For example, false discount information, claims of unproven therapeutic or preventive effects of products should not be made.

Restriction on High-Risk Promotion: Promotion through unveriﬁed marketing channels, such as illegal websites or platforms marked as fraudulent, should not be conducted; all promotional activities should avoid using automated tools to generate false clicks or affect the user experience in ways;

Content Standards and Brand Consistency

All afﬁliate content must be upright, accurate, and respect intellectual property rights.

Content Standards: All promotional content you submit, including images, videos, and text, must align with the brand image and market positioning.

Maintaining Brand Image: Promotional materials should positively showcase Redfox, enhance brand recognition, and must not harm the brand reputation. For example, Redfox products should not be associated with vulgar, illegal, or unethical content.

Transparency and Integrity: In all promotional materials, it is mandatory to clearly label promotions and advertisements, and not mislead consumers about your relationship with Redfox.

Use of Brand Assets

Use of Ofﬁcial Materials: Redfox will provide a standardized set of promotional materials including icons, logos, advertising banners, and text templates. Afﬁliates

can use these materials for promotion, and afﬁliates may also decide to use other promotional materials.

Request for Custom Materials: If speciﬁc promotional materials are needed to adapt to your speciﬁc market, afﬁliates may decide independently.

8、ConﬁdentialityandIntellectual Property

Handling of Conﬁdential Information:

As an afﬁliate, you may access unreleased product information, marketing strategies, and other trade secrets, which must be kept conﬁdential and not disclosed to any third party.

The duty of conﬁdentiality remains effective after the termination of this agreement until such information becomes public knowledge or no longer has commercial value.

Respect for Intellectual Property:

All copyrights, trademarks, and other intellectual property rights in promotional materials and related content provided through the afﬁliate program belong to Redfox.

Without authorization, afﬁliates may not copy, modify, or distribute any such materials for non-promotional purposes.

9、DisputeResolution

If any term of this agreement is found to be unenforceable or invalid, that term shall be limited or eliminated to the minimum extent necessary so that this agreement shall otherwise remain in full force and effect.

Redfox will not accept disputes arising more than 10 days after the date of the qualiﬁed purchase, and afﬁliates will permanently lose any rights to potential claims.

Dispute Resolution Procedures:

Parties should ﬁrst resolve any disputes through friendly negotiation.

If negotiation fails, the dispute shall be submitted to an arbitration agency located in the State of New

York, and the arbitration outcome shall be ﬁnal and binding. Applicable Law:

The interpretation and enforcement of this agreement are governed by the laws of the State of New York.

10、ModiﬁcationsandUpdates

We may update this agreement from time to time to reﬂect changes in laws and regulations, adjustments in business practices, or user feedback. We recommend you regularly review this agreement to understand any updates. Any changes made to this agreement will be posted on this website, and we will remind you of any changes by updating the "Revision" date of this agreement. Any changes or modiﬁcations will take effect immediately upon posting the updated afﬁliate agreement on the website, and you waive the right to receive speciﬁc notice of each such change or modiﬁcation. If you continue to access or use this website or

any other services after the date of posting the revised agreement, you will be considered to have understood, are bound by, and accept any changes to the revised afﬁliate agreement. We reserve the right to modify or discontinue all or any part of the services at any time without further notice.
